Terms of Service

Agreement

These Terms of Service (“Terms”) are an agreement between you and Quoqo, Inc. (“Quoqo”, “we”). By using Quoqo Counsel (the “Service”) you agree to these Terms.

The Service

Quoqo Counsel reviews contracts you upload and produces a work package — an executive memorandum, negotiation brief, redline, issue register, board brief, and counterparty email — combining deterministic analysis with clearly-labelled drafted judgment.

The Service is decision support, not legal advice. Its output is analysis and drafted work product for review by qualified counsel. Using the Service does not create an attorney-client relationship, and there is no attorney-client relationship between you and Quoqo. Deterministic facts are labelled DERIVED and drafted judgment is labelled DRAFTED; you are responsible for reviewing both before relying on or sending any output.

Accounts and workspaces

You are responsible for your account, your workspace members, and the activity under them. Seats and review volume are governed by your plan. You must provide accurate information and keep your credentials secure.

Acceptable use

  • Do not use the Service unlawfully or to infringe others’ rights.
  • Do not upload content you lack the right to process.
  • Do not attempt to break tenant isolation, access other customers’ data, or probe the Service’s security without authorization.
  • Do not resell or provide the Service to third parties except as your plan allows.

Your content and intellectual property

You keep ownership of the documents you upload and the work product generated for you. You grant Quoqo a limited licence to host and process that content solely to provide the Service. Quoqo owns the Service, its software, and its underlying models and methods.

Subscriptions and billing

Paid plans are billed in advance in US dollars through Stripe. A completed contract review meters one unit of usage; reviews beyond your plan’s included volume are billed as overage at your plan’s rate, and additional seats are billed per your plan. Subscriptions renew automatically until cancelled. Taxes may apply. Except where required by law, payments are non-refundable.

Warranties and disclaimers

The Service is provided “as is” and “as available”. We do not warrant that its output is complete, accurate, or error-free, or that the Service will be uninterrupted. To the fullest extent permitted by law, we disclaim all implied warranties.

Limitation of liability

To the fullest extent permitted by law, Quoqo will not be liable for indirect, incidental, special, or consequential damages, and our total liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months before the claim.

Indemnification

You agree to indemnify Quoqo against claims arising from your content or your use of the Service in breach of these Terms.

Term and termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or as required by law. On termination, your right to use the Service ends and we handle your content as described in the Privacy Policy.

Changes to the Service and these Terms

We may change the Service and update these Terms. When we make material changes we will update the date above and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over disputes arising from these Terms, except where applicable law provides otherwise.
